Terms and Conditions

Complium OÜ provides the services defined below under the following conditions:

  1. General

These terms and conditions (hereinafter terms) govern the provision of services by Complium OÜ (hereinafter COMPLIUM or we) to its clients (hereinafter referred to as Client). By entering into an agreement with us, the Client confirms that he has read these terms and agrees that they are mandatory for him to comply with. The Client confirms that the information he provided to COMPLIUM is true, accurate and complete and agrees to keep it up to date.

  1. The Service

Complium’s activity is the mediation of proficient experts with specific knowledge, skills and experience to the Client, (provision of brokerage services in accordance with § 658 of the Law of Obligations Act), who advise and represent the Client and provide him with the following services:

Legal services, such as representing the Client in court, pre-trial proceedings and elsewhere. Also preparing documents for the Client and performing other legal actions in his interests.

Activities related to compliance and supervision in the field of prevention of money laundering and terrorist financing, such as advising and training[1] the Client and its employees in fulfilling the requirements in the field of prevention of money laundering and terrorist financing and in building the relevant control and internal control mechanisms within the Client’s company.

Corporate services and related activities. We would like to point out that trust management and company services and related activities that require a separate license (see list below), is carried out separately by our partner WASP Consult OÜ (reg. no. 12067392) on the basis of the operating licence no. FIU000103 issued by the Financial Intelligence Unit, i.e.:

  1. foundation of a company or other legal persons, including actions relating to the transfer of share/s,
  2. acting as a director or a member of the management board, a partner in a general partnership or in such a position in another legal person, as well as arranging for another person to take up the said position,
  3. enabling to use the address of the registered office or place of business, including the use of the address as part of the contact data, or to use the address for receiving postal items, and the provision of other services related to the aforementioned to a company or other legal entity, partnership or other association of persons not having the status of a legal entity,
  4. acting as a trustee or a representative of a partnership, association or other association of persons not having the status of a legal entity, or appointing another person to this position,
  5. acting as a shareholder’s representative or arranging for another person to act as a shareholder’s representative, except for those companies whose securities are admitted to trading on the regulated securities market, and which are subject to disclosure requirements in accordance with European Union legislation or equivalent international standards.
  1. Using the Service

The prerequisite of the client relationship is that Client passes the Know Your Customer (hereinafter KYC) check performed by COMPLIUM and complies with KYC requirements throughout the duration of the client relationship. These terms, positive KYC and a specific agreement shall constitute the Client’s order (hereinafter order). COMPLIUM does not enter into transactions in its own name and account in the interest or at the request of a Client, if its purpose is to conceal the owner of the actual beneficiary, to evade supervision, tax, reporting, etc. obligations, or for any other unlawful purpose.

  1. Fee

The calculation principles and amount of the fee for our services are specified in the agreement (hereinafter fee). The fee is subject to payment by the Client in accordance with the agreement. COMPLIUM may change the fees at any time upon reasonable notice. If the Client does not accept the changed fee, he has the right to terminate the agreement. The fee changes do not apply to the prepaid services and the new Fee applies to the Client from the next order. The fee is payable in advance, unless otherwise agreed in the agreement.

  1. Confidentiality

COMPLIUM shall keep information concerning the Client confidential. The obligation of confidentiality is not limited in time and extends to all COMPLIUM employees. The obligation of confidentiality does not extend to COMPLIUM only if the direct obligation to disclose information results from the law, (including Money Laundering and Terrorist Financing Prevention Act), or if the Client’s consent to the disclosure of information results from the authorisation or assignment given by the Client.

  1. Customer Data

We have the right to process the personal data of the Client and third parties related to the fulfilment of our obligations in accordance with COMPLIUM’s personal data processing principles, which can be found in Privacy Policy.

  1. Disclaimer of Warranties

COMPLIUM disclaims any and all warranties, express or implied, regarding its service. The service is provided “as is” and at the Client’s own risk, and we do not guarantee or endorse the quality, fitness for purpose, non-infringement, integrity or accuracy of the Service. Regardless of our efforts to provide the Client with the best quality services, we cannot guarantee that the service will meet the expectations set by the Client. COMPLIUM reserves the right to change or terminate the service at any time, temporarily or permanently, without liability to the Client for interruption, change or termination of the service or service functions. If possible, the termination of the service will be reasonably announced in advance. The Client is solely responsible for compliance with any and all applicable and relevant laws and requirements. Furthermore, in no event shall COMPLIUM be liable for any consequential damages, including lost revenue.

  1. Amendment of the Terms

COMPLIUM has the right to amend these terms at any time by notifying of the amendments via its website.

  1. Governing Law and Settlement of Disputes

These terms are governed by the laws of the Republic of Estonia. Any disputes arising from or related to these terms shall be finally resolved by the Harju County Court in Tallinn.

  1. Complete Agreement.

These terms, together with the order, constitute a complete agreement between the Client and COMPLIUM on the content of the brokerage agreement, which takes precedence and supersedes all previous written and oral agreements applicable to the subject matter of the brokerage agreement.
